Terms of Service

By accessing or using any TNZ Productions product or service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

TNZ Productions provides the following products and services, each subject to these Terms:

• Kova POS: A point-of-sale and business management platform for merchants.
• KovaPay: A payment processing and peer-to-peer transfer platform for merchants and individuals.
• KovaMail: A white-label business email hosting service.
• TNZ Websites: tnzproductions.com, kovapos.com, getkovapay.com, and associated domains.

We reserve the right to modify, suspend, or discontinue any product or service at any time with reasonable notice.

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Our services are intended for users in the United States. Use from outside the United States is at your own risk and subject to local laws.

To access certain features, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration.
• Maintain the security of your account credentials and not share them with others.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

KovaPay payment processing is subject to the following terms:

• Processing rates are disclosed at the time of account setup and may be updated with 30 days' notice.
• Standard processing rate: 3.2% + $0.10 per transaction. Instant payout rate: 3.9% + $0.10.
• Payouts are subject to Stripe's standard settlement timelines and our platform's reserve policies.
• You are responsible for all chargebacks and disputes arising from your transactions.
• TNZ Productions is not a bank and does not hold funds on your behalf beyond settlement periods.
• Fraudulent transactions, money laundering, or use of our platform for illegal purposes will result in immediate account termination and may be reported to authorities.

You agree not to use our products or services to:

• Violate any applicable local, state, federal, or international law or regulation.
• Process payments for illegal goods or services.
• Send spam, unsolicited commercial communications, or harassing messages via KovaMail.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse engineer, decompile, or disassemble any TNZ software.
• Interfere with or disrupt the integrity or performance of our services.
• Use our services to transmit malware, viruses, or other malicious code.
• Misrepresent your identity or affiliation with any person or organization.

All TNZ Productions software, designs, trademarks, logos, and content are the exclusive property of TNZ Productions LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our products solely for your personal or business purposes in accordance with these Terms.

You retain ownership of all data and content you submit to our services. By submitting content, you grant TNZ Productions a limited license to store, process, and display that content solely for the purpose of providing our services to you.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

TNZ Productions does not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any defects will be corrected or that our services will meet your specific requirements.

To the maximum extent permitted by applicable law, TNZ Productions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our services.

In no event shall our total liability to you for all claims arising from or related to our services exceed the greater of (a) the amount you paid to TNZ Productions in the 12 months preceding the claim, or (b) $100.

Either party may terminate these Terms at any time. You may terminate by closing your account. We may terminate or suspend your access immediately, without prior notice, if we determine that you have violated these Terms.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Spokane County, Washington, and you consent to personal jurisdiction in those courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or in-app notification at least 14 days before the changes take effect. Your continued use of our services after the effective date constitutes your acceptance of the revised Terms.
